Reseller Agreement Terms and Conditions

1. Parties: This agreement ("Agreement") is entered into by and between Al UFUQ Private Limited, hereinafter referred to as "Supplier," and [Reseller Name], hereinafter referred to as "Reseller."

2. Products: The Supplier agrees to provide the Reseller with the online portal of the products for resale

3. Pricing and Payment:

   • The reseller agrees to purchase products from the Supplier at the agreed-upon reseller prices.
   • Payment terms and methods shall be as follows:
     • All the payments must be done on delivery.
     • All the payments received on the behalf of the reseller will be available to withdraw anytime.

4. Ordering Process:

   • Reseller shall submit orders in writing via email, online portal, and WhatsApp.
   • Orders are subject to acceptance by Supplier.

5. Shipping and Delivery:

   • Shipping costs, responsibilities, and delivery times shall be as specified in the attached Exhibit A.

6. Marketing and Branding:

   • Reseller agrees to market and promote the products in a manner consistent with Supplier's branding and guidelines.
   • Any use of Supplier's trademarks, logos, or copyrighted material must be approved in writing by Supplier.

7. Customer Support and Returns:

   • Reseller shall provide first-level customer support and handle product returns in accordance with Supplier's policies.

8. Intellectual Property:

   • All intellectual property rights, including trademarks, patents, and copyrights, remain the property of the Supplier.

9. Confidentiality:

   • Both parties agree to keep any confidential information exchanged during the course of this agreement confidential and not disclose it to third parties.

10. Termination:

• Either party may terminate this Agreement with written notice if the other party breaches a material term of this Agreement.

1. Governing Law:

• This Agreement shall be governed by the laws of [Jurisdiction] without regard to its conflict of law principles.

1. Entire Agreement:

• This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether oral or written.

• This Agreement may only be amended in writing and signed by both parties.
